TD Asset Management Investment Funds Establish Independent Review Committee

TORONTO, Sept. 19 /CNW/ - TD Asset Management Inc. (TDAM), the manager of the TD Mutual Funds, TD Managed Assets Program Portfolios, TD Private Funds and TD Emerald Funds fund families, announced today that each of the funds in these fund families has established an independent review committee (IRC) effective September 19, 2007. The mandate of the IRC is to act as an impartial and independent committee to review and, if appropriate, provide approval or recommendations respecting any conflict of interest matters referred to it by TDAM. The Committee consists of four independent members, whose terms range from two to three years. The IRC members are as follows: Paul Moore, IRC Chair Paul Moore is counsel with Bennett Jones LLP. He recently completed a six year term as Vice-Chair of the Ontario Securities Commission and for 34 years prior to that was a senior partner at another major Toronto law firm. He has extensive experience with investment funds, corporate governance, derivatives, securities, financial institutions and administrative law. R. Peter Gillin R. Peter Gillin is Chairman & Chief Executive Officer, Tahera Diamond Corporation, which operates the Jericho diamond mine in Nunavut and conducts diamond exploration and development in Canada. He was previously President and Chief Executive Officer of Zemex Corporation, an industrial minerals corporation. Prior to 2002, Mr. Gillin served as Vice Chairman and Director of N.M. Rothschild & Sons Canada Limited and as a Managing Director of Scotia Capital. He is a Chartered Financial Analyst. Warren Moysey Warren Moysey is Chair of Aviva Canada Inc., the second largest property and casualty insurance company in Canada. He was previously CEO of a large Canadian mutual fund company, of Central Guaranty Trust Company and of Aetna Life Insurance Company of Canada. The first 28 years of his career were with Canadian Imperial Bank of Commerce, most recently as a director and one of the four most senior executive officers of the bank. Harold (Hap) S. Stephen Hap Stephen is Chair and Chief Executive Officer of Stonecrest Capital Inc. His previous assignments included Chairman of the Board of Repap Enterprises Inc. and Executive Vice President and Chief Financial Officer (CFO) of T. Eaton Company Limited. Mr. Stephen spent nearly 30 years of his career with Ernst & Young in a number of senior positions, including President of Ernst & Young Restructuring & Corporate Finance practice.
